The NoviraHub Cooperation Process

NoviraHub is a platform for identifying, assessing and establishing controlled business connections between industrial companies and manufacturers, prospective representatives and brokers in international markets. Cooperation begins with submitting and reviewing information. After opportunities are matched, the process proceeds through introductions and negotiations, subject to confidentiality and the parties’ approval, and leads to a contract if an agreement is reached. Submitting an inquiry alone does not guarantee obtaining or granting representation.

Granting International Industrial Representation

For manufacturers, factories and brand owners seeking to develop markets and appoint representatives for their products domestically or internationally. After information is submitted and initially reviewed, the representation opportunity is assessed within the NoviraHub network. If approved, the process of identifying and matching qualified applicants begins.

Obtaining International Industrial Representation

For companies, business professionals and investors seeking to represent reputable products and brands in their target markets. Once an application is submitted and the applicant’s information and capabilities are reviewed, suitable opportunities are identified and assessed. With both parties’ approval, controlled introductions and commercial negotiations begin.

The Role of Ertebat Saz Asr and NoviraHub in Cooperation

Ertebat Saz Asr and NoviraHub coordinate and facilitate cooperation between manufacturers, prospective representatives and business partners. This includes receiving and initially reviewing information, identifying and matching suitable opportunities, managing controlled introductions, coordinating negotiations and following up on cooperation stages until a commercial agreement is reached. Final decisions on representation terms, obligations, operating territory and contract execution rest with the parties to the transaction. Where specialist input is needed, affiliated advisers and specialist organisations may also be involved.

No Upfront Fee: Service Fees Only After Success

At NoviraHub, submitting an inquiry and the initial assessment of cooperation opportunities involve no upfront fee. Our aim is a results-based cooperation model: service fees are collected in accordance with the terms agreed with the relevant party, after the process succeeds and the defined commercial outcome is achieved. The fee amount and terms are clearly set out in the cooperation agreement before implementation and final negotiations begin.

Assessment and Due Diligence of the Parties

To increase confidence in the cooperation process, information and documents provided by manufacturers, prospective representatives and other business parties undergo an initial review appropriate to the type of cooperation. This may include identity verification, company registration details, business history, licences and certifications, commercial capabilities and other relevant documents. The level of review and required documents depend on the activity, product, country and circumstances of each opportunity. These checks do not constitute a legal, financial or commercial guarantee of the parties. The parties to the transaction remain responsible for the final assessment and decision to enter into a contract.

Identifying and Matching Suitable Business Partners

At NoviraHub, business partners are not selected and introduced solely on the basis of registration. Each opportunity and applicant is assessed and matched according to factors such as product and industry, country and target market, financial and commercial capabilities, business history, sales and distribution networks, facilities and infrastructure, and the manufacturer’s requirements. The aim is to identify candidates with the strongest initial compatibility for commercial negotiations. Introducing a business partner does not constitute final approval or guarantee a successful partnership. The parties make the final decision after assessment and negotiation.

Information Confidentiality and Controlled Introductions

Contact details, identity information and commercial information of parties registered with NoviraHub are not shared with others without review and coordination. General information needed to present cooperation opportunities may be published without contact details or other sensitive information. Where there is initial compatibility and both parties wish to proceed, introductions and information exchange take place through a controlled process coordinated by NoviraHub. Confidential information and documents are shared with authorised parties according to the negotiation stage and, where necessary, after confidentiality obligations have been accepted.

Confidentiality and Non-Circumvention Obligations (NDA & Non-Circumvention)

To protect commercial information and the rights of cooperating parties, confidentiality (NDA) and non-circumvention obligations are used at the appropriate stages. The parties undertake not to use or disclose information, documents and business connections received through the cooperation beyond the agreed scope, and not to contact or transact with introduced parties for the purpose of excluding or circumventing the role and contractual rights of Ertebat Saz Asr and NoviraHub. The details, duration, geographical scope, covered opportunities and each party’s obligations are specifically defined in the agreement for that cooperation.

Geographical Scope and Type of Representation

Each representation territory is determined by agreement between the parties, taking account of market capacity, product type and market development objectives. It may cover one country, several countries or a defined geographical region. Depending on the agreed terms, representation may be exclusive or non-exclusive. The geographical scope, duration, conditions for maintaining exclusivity, objectives and the parties’ obligations are specifically defined in the agreement for each partnership.

Transparency About Cooperation Outcomes

Submitting an inquiry, reviewing information, matching opportunities or introducing parties through NoviraHub does not guarantee obtaining or granting representation or concluding a commercial contract. The final outcome depends on the parties’ assessment, negotiations, agreement and independent decisions. Ertebat Saz Asr and NoviraHub facilitate and manage identification, matching, introductions and coordination. Final decisions and acceptance of contractual obligations remain the responsibility of the parties to the transaction.
